Agreement and scope
By purchasing or using a service, you agree to these terms and the applicable proposal, statement of work, invoice, or order. A specifically agreed project document controls if it conflicts with these terms.

Services and client responsibilities
We perform services with reasonable skill and care according to the agreed scope. You must provide timely access, decisions, content, credentials, and accurate information. Delays caused by missing inputs may change delivery dates.

Fees, subscriptions, and taxes
Prices are stated in USD unless otherwise shown. Invoices are payable by the stated due date. Recurring plans renew for the stated billing period until cancelled before renewal. Unused hours do not roll over unless agreed in writing. You are responsible for applicable taxes and third-party charges.

Changes and acceptance
Work outside the agreed scope requires written approval and may affect price and timing. Deliverables are accepted when approved, used in production, or not rejected with specific material defects within the stated acceptance period.

Intellectual property
After full payment, you receive rights to custom final deliverables specified in the project agreement. Scriptdaddy retains pre-existing tools, frameworks, know-how, reusable code, and general techniques, while granting the licence necessary to use them within the deliverable.

Hosting and availability
Hosting and maintenance depend on third-party infrastructure. We aim for reliable operation but do not promise uninterrupted availability unless a separate service-level agreement states otherwise. Emergency recovery, major migrations, and work outside routine maintenance may be charged separately.

Confidentiality and security
Each party will protect the other's confidential information and use it only for the engagement. You remain responsible for authorised users, secure credentials, lawful data, and promptly reporting suspected compromise.

Warranties and liability
To the maximum extent permitted by law, implied warranties are excluded. Neither party is liable for indirect, special, incidental, or consequential loss, lost profits, or lost data. Scriptdaddy's aggregate liability is limited to fees paid for the affected service in the three months preceding the event, except where prohibited by law.

Termination
Either party may terminate for material breach not cured within a reasonable written notice period. We may suspend service for overdue payment, security risk, unlawful use, or misuse. Fees for completed work and committed non-cancellable costs remain payable.

General
Neither party is responsible for delay caused by events beyond reasonable control. If a provision is unenforceable, the remainder continues. Governing law and dispute venue will be stated in the applicable proposal or invoice; where absent, the parties will first attempt good-faith resolution.
